End User License Agreement

blecksaudio.

1. Contracting Parties

This End User License Agreement (hereinafter referred to as “EULA”) is between you (either a individual or single entity, hereinafter referred to as “Licensee”) and blecksaudio UG (haftungsbeschränkt), Voßstraße 12, 30161 Hannover, Germany (hereinafter referred to as “blecksaudio”).

2. Subject of the Agreement

The subject of this “EULA” applies to the usage, purchase or download of any sample library, virtual instrument, soundsource files, sample pack, preset pack, or any printed or electronic documentation from “blecksaudio”, hereinafter collectively referred to as "SOFTWARE".

Upon purchasing, downloading, or using this Software, you are confirming your acceptance of the terms and consenting to be legally bound by this “EULA”, which will persist until termination. If you do not agree to the terms of this “EULA”, you are not permitted to use the “SOFTWARE”.

The “SOFTWARE” is safeguarded by copyright laws and international copyright treaties.

All rights not explicitly granted to you herein are retained by “blecksaudio”. “blecksaudio” also retains possession of the “SOFTWARE” itself and all copies thereof.

3. Grant of License

Upon purchasing the “SOFTWARE”, “blecksaudio” provides a "USER LICENSE" to the Licensee. This “USER LICENSE” grants the Licensee the non-exclusive right to utilise the software in any commercial or non-commercial productions. This includes various formats such as mechanical music releases (CD, Vinyl etc.), movie soundtracks and public performances. The Licensee is not obligated to pay additional licence fees to “blecksaudio” or provide any form of attribution.

The Licensee has permission to use the "SOFTWARE" on various machines, given that they are the exclusive user of the "SOFTWARE" on each individual machine.

The “USER LICENSE” is valid worldwide and does not have any time limitations.

“blecksaudio” ensures unlimited and continuous access to the functional description of the software at www.blecksaudio.de.

4. Limitations

The “USER LICENSE” explicitly prohibits any form of redistribution of the "SOFTWARE", including but not limited to the following methods:

  • The Licensee is explicitly prohibited from reselling, renting or sharing the "SOFTWARE", whether in its entirety or in separate parts.
  • This license explicitly prohibits the unauthorised inclusion of the “SOFTWARE” in any sample instrument or sound effects library, whether online or offline, without our explicit written consent. This restriction extends to actions such as resampling, layering, mixing, or processing the “SOFTWARE” for this purpose.
  • The Licensee is explicitly prohibited from editing, decompiling, or modifying the “SOFTWARE” in any manner. Additionally, the Licensee is not entitled to remove or bypass protective mechanisms within the software designed to prevent unauthorised usage. Similarly, it is not permitted to alter or remove copyright notices, serial numbers, or any other software identification features.

5. Download and Installation

"blecksaudio" will provide the “SOFTWARE” to the Licensee for a single download. Once the Licensee has completed the full download of the “SOFTWARE”, they are not eligible for any further downloads.

The Licensee is responsible for installing the software. The Licensor holds no responsibility for ensuring the accurate execution of the installation process.

Additionally, "blecksaudio" cannot be held liable for ensuring the availability of the accurate system requirements or any potentially required third-party products.

6. Refunds

You are entitled to a refund within 14 days of your purchase if you haven't initiated or attempted to download the software. However, due to the nature of downloadable products, once the download link has been accessed or if 14 days have passed, all payments made for the “SOFTWARE” become non-refundable. Furthermore, it's acknowledged and agreed that no refunds will be issued if this Agreement is terminated.

7. Liability for Damages

“blecksaudio” shall not be held liable for any damages, including, but not limited to, financial losses or business disruptions arising from the use of the “SOFTWARE”. This limitation of liability applies even if “blecksaudio” was made aware of the possibility of such damages.

Additionally, "blecksaudio" does not assume responsibility for ensuring that the "SOFTWARE" is suitable for a specific or particular purpose.

If “blecksaudio” is found liable for any connection to this Agreement, the Licensee explicitly acknowledges and agrees that the liability of “blecksaudio” to the Licensee shall be limited to the amount the Licensee paid for the “SOFTWARE”.

“blecksaudio” shall not be held liable for any physical harm or any potential adverse effects on the Licensee’s mental well-being or mental health that may occur as a result of using the “SOFTWARE”.

8. Concluding Provisions

Should any specific terms within this Agreement be or become invalid, either in full or in part, the remaining terms will remain valid.

This Contract is governed by the laws of the Federal Republic of Germany. Hannover will serve as the designated jurisdiction for any legal matters arising.
